PLEASE READ CAREFULLY. THE "DISPUTES" SECTION REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT WITHIN 30 DAYS.
1. Agreement
These Terms are a contract between you and ORVEXIA Technologies LLC ("ORVEXIA") for your use of ABA Professionals Girl (the "Product"). By creating an account, checking the box or button that refers to these Terms, or using the Product, you agree to them and to the Privacy Policy. If you use the Product for an organization, you confirm that you can bind it, and "you" includes the organization.
2. Eligibility
You must be at least 13 years old (or the age of digital consent where you live, if higher), and if you are under 18 a parent or guardian must agree to these Terms. You may not use the Product if you are barred from doing so under U.S. law or the laws of your country.
3. License to use the Product
ORVEXIA owns the content of ABA Professionals Girl (videos, characters, scripts, artwork, voices and music we create). We grant you a personal, non-commercial right to watch and share the official links. You may not download and re-upload, edit, sell, or use the characters or content to train AI models, without written permission. Brief quotation for commentary, criticism or news, as allowed by fair use, is welcome with credit.
4. Acceptable use
You agree not to use the Product for illegal activity, harassment, infringement, malware, spam or fraud, or in a way that endangers safety.
5. Product-specific terms
- Voices, characters and images are created or assisted with artificial intelligence and are identified as such where platforms require it.
- All cases and people shown are fictional. Any resemblance to real persons is coincidental.
- Content is educational only and is not clinical, medical or professional advice. It does not create a provider–client relationship.
- The Product is not affiliated with, endorsed by or sponsored by the Behavior Analyst Certification Board (BACB). Practice questions are original and are not actual exam items.
6. Pre-release features and changes
Beta, preview or concept features are provided for evaluation, may change or be discontinued, and may contain errors. We may modify the Product. If we discontinue a paid Product, we will give reasonable notice and a pro-rata refund of prepaid fees for the unused period.
7. Third-party services
The Product may link to or integrate third-party services (for example sign-in, payments, maps, AI models or app stores). Their terms and privacy policies govern your use of them, and ORVEXIA is not responsible for them.
8. Intellectual property and feedback
ORVEXIA, the ORVEXIA logo, product names and characters are trademarks of ORVEXIA Technologies LLC. Nothing in these Terms grants you rights in them except as stated in the Brand & Character Usage Guidelines. If you send us feedback, we may use it without obligation to you.
9. Suspension and termination
You may stop using the Product and delete your account at any time. We may suspend or terminate access if you materially break these Terms, create risk or legal exposure, or if required by law; when practical we will give notice and a chance to fix the issue, and let you export your data. Sections that by nature should survive (ownership, disclaimers, limitation of liability, disputes) survive termination.
10. Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. Some jurisdictions do not allow these exclusions, so some may not apply to you.
11. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, ORVEXIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA OR GOODWILL. ORVEXIA'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PRODUCT IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID ORVEXIA FOR THE PRODUCT IN THE 12 MONTHS BEFORE THE CLAIM OR US $100. These limits do not apply to liability that cannot be limited by law, such as for gross negligence, willful misconduct, or death or personal injury caused by our negligence.
12. Indemnity
If you use the Product for business, or if you break these Terms or the law, you will defend and indemnify ORVEXIA against third-party claims arising from that use or breach, including reasonable attorney fees. This section does not apply to consumers where the law prohibits it.
13. Disputes: informal resolution, arbitration and class-action waiver
- Talk to us first. Before filing a claim, send a written notice describing it to legal@orvexiatech.com. We will try to resolve it within 60 days.
- Binding individual arbitration. If not resolved, any dispute arising from these Terms or the Product will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules for business users). The arbitrator may award the same individual relief a court could. For consumers, ORVEXIA pays filing and arbitrator fees above the amount you would pay to file in court. Arbitration may be held by video or in the county where you live.
- Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek an injunction in court for infringement or misuse of intellectual property.
- Class-action and jury waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and both parties waive the right to a jury trial. If 25 or more similar demands are filed by the same or coordinated counsel, they will be administered in batches under the AAA mass-arbitration procedures.
- 30-day opt-out. You may opt out of arbitration by emailing legal@orvexiatech.com with your name and the subject "Arbitration opt-out" within 30 days after first accepting these Terms.
14. Governing law and venue
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to the “Disputes” section, the state and federal courts located in Fort Bend County, Texas have exclusive jurisdiction. If you are a consumer, nothing here removes protections that the law of your place of residence gives you and that cannot be waived by contract.
15. General
These Terms, together with the documents they reference, are the entire agreement about the Product. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale. We will give at least 30 days' notice of material changes; continuing to use the Product after they take effect means you accept them, and if you do not agree you may cancel. You must comply with U.S. export and sanctions laws.
