Product status: In development — not yet generally available. This document describes how the product is designed to work and the commitments ORVEXIA makes for it. It will be updated before launch if the final product differs.
1. Scope
These terms apply when an organization ("Customer") subscribes to ORVEXIA Shield for its staff, clients or residents. They supplement the Terms of Service. This Data Processing Addendum (DPA) applies to personal data that ORVEXIA processes on Customer's behalf ("Customer Data").
2. Roles and instructions
Customer is the controller (or "business"); ORVEXIA is the processor (or "service provider"/"contractor" under the CCPA). ORVEXIA processes Customer Data only on Customer's documented instructions, including these terms, and will not sell or share it, retain, use or disclose it outside the direct business relationship, or combine it with other data except as permitted by law.
3. ORVEXIA commitments
- Confidentiality obligations for everyone with access
- Security measures described in the Security & Responsible Disclosure Policy
- Use only the subprocessors listed in the Privacy Policy and at https://orvexiatech.com/trust, with 30 days' notice of new ones and the right to object
- Notice of a personal data breach without undue delay and in any case within 72 hours of becoming aware
- Assistance with data subject requests, data protection assessments and regulator inquiries
- Deletion or return of Customer Data within 30 days after the contract ends
- Information needed to demonstrate compliance, and reasonable audits once per year on 30 days' notice
4. Customer responsibilities
Customer is responsible for having a lawful basis and giving the notices required to its users (for example employee location-monitoring notices), for the accuracy of Customer Data, and for managing its users' access.
5. International transfers
Where Customer Data from the EEA, UK or Switzerland is transferred to the United States, the EU Standard Contractual Clauses (Module 2 or 3) and the UK Addendum are incorporated by reference.
6. Service levels and support
Availability targets and support hours, if any, are stated in the Customer's order. No uptime is guaranteed unless an order says so.
