ORVEXIA Vault — Terms of Service
Operator: ORVEXIA Technologies LLC, Sugar Land, Texas · Product: ORVEXIA Vault (https://orvexiatech.com/vault) · Product status: Beta / pre-release
Product status: Beta / pre-release. This document describes how the product is designed to work and the commitments ORVEXIA makes for it. It will be updated before launch if the final product differs.
PLEASE READ CAREFULLY. THE "DISPUTES" SECTION REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS AND JURY TRIALS. YOU MAY OPT OUT WITHIN 30 DAYS.
1. Agreement
These Terms are a contract between you and ORVEXIA Technologies LLC ("ORVEXIA") for your use of ORVEXIA Vault (the "Product"). By creating an account, checking the box or button that refers to these Terms, or using the Product, you agree to them and to the Privacy Policy. If you use the Product for an organization, you confirm that you can bind it, and "you" includes the organization.
2. Eligibility
You must be at least 13 years old (or the age of digital consent where you live, if higher), and if you are under 18 a parent or guardian must agree to these Terms. You may not use the Product if you are barred from doing so under U.S. law or the laws of your country.
3. Your account
Give accurate information, keep your credentials confidential, turn on two-factor authentication where offered, and tell us at once about unauthorized use. You are responsible for activity under your account. We may refuse a username that impersonates others or infringes rights.
4. License to use the Product
Subject to these Terms, ORVEXIA grants you a limited, revocable, non-exclusive, non-transferable license to use the Product for its intended purpose. You may not copy, modify, resell, reverse engineer (except where the law allows), circumvent technical limits or security, or use the Product to build a competing service. Open-source components are licensed under their own licenses, which prevail for those components.
5. Acceptable use
You agree to follow the Acceptable Use & Community Guidelines. In short: no illegal activity, no harassment or hate, no infringement, no malware or attacks, no spam or fraud, no attempts to access other people's data, and no use that endangers safety.
6. Fees and payments
Prices, taxes and billing terms are shown before you pay and are governed by the Subscription, Billing & Refund Policy, which is part of these Terms. Payments are processed by Stripe; its terms also apply. You authorize us and our processor to charge the payment method you provide.
7. Product-specific terms
- Your secrets and documents are stored and encrypted on your device. ORVEXIA cannot see or recover them. You are responsible for your device, your unlock method and your backups.
- Your vault is protected by a key derived from your master password. If you lose it and have no recovery method, ORVEXIA cannot recover your data.
- If your subscription ends, your stored documents are not deleted; you keep read and export access.
- Free trials last 7 days unless stated otherwise. You are reminded before the trial converts and you can cancel at any time before it ends without charge.
8. Pre-release features and changes
Beta, preview or concept features are provided for evaluation, may change or be discontinued, and may contain errors. We may modify the Product. If we discontinue a paid Product, we will give reasonable notice and a pro-rata refund of prepaid fees for the unused period.
9. Third-party services
The Product may link to or integrate third-party services (for example sign-in, payments, maps, AI models or app stores). Their terms and privacy policies govern your use of them, and ORVEXIA is not responsible for them.
10. Intellectual property and feedback
ORVEXIA, the ORVEXIA logo, product names and characters are trademarks of ORVEXIA Technologies LLC. Nothing in these Terms grants you rights in them. If you send us feedback, we may use it without obligation to you.
11. Suspension and termination
You may stop using the Product and delete your account at any time. We may suspend or terminate access if you materially break these Terms, create risk or legal exposure, or if required by law; when practical we will give notice and a chance to fix the issue, and let you export your data. Sections that by nature should survive (ownership, disclaimers, limitation of liability, disputes) survive termination.
12. Disclaimers
TO THE EXTENT PERMITTED BY LAW, THE PRODUCT IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. Some jurisdictions do not allow these exclusions, so some may not apply to you.
13. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, ORVEXIA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA OR GOODWILL. ORVEXIA'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE PRODUCT IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID ORVEXIA FOR THE PRODUCT IN THE 12 MONTHS BEFORE THE CLAIM OR US $100. These limits do not apply to liability that cannot be limited by law, such as for gross negligence, willful misconduct, or death or personal injury caused by our negligence.
14. Indemnity
If you use the Product for business, or if you break these Terms or the law, you will defend and indemnify ORVEXIA against third-party claims arising from that use or breach, including reasonable attorney fees. This section does not apply to consumers where the law prohibits it.
15. Disputes: informal resolution, arbitration and class-action waiver
- Talk to us first. Before filing a claim, send a written notice describing it to legal@orvexiatech.com. We will try to resolve it within 60 days.
- Binding individual arbitration. If not resolved, any dispute arising from these Terms or the Product will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules for business users). The arbitrator may award the same individual relief a court could. For consumers, ORVEXIA pays filing and arbitrator fees above the amount you would pay to file in court. Arbitration may be held by video or in the county where you live.
- Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek an injunction in court for infringement or misuse of intellectual property.
- Class-action and jury waiver. Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative proceeding, and both parties waive the right to a jury trial. If 25 or more similar demands are filed by the same or coordinated counsel, they will be administered in batches under the AAA mass-arbitration procedures.
- 30-day opt-out. You may opt out of arbitration by emailing legal@orvexiatech.com with your name and the subject "Arbitration opt-out" within 30 days after first accepting these Terms.
16. Governing law and venue
These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to the “Disputes” section, the state and federal courts located in Fort Bend County, Texas have exclusive jurisdiction. If you are a consumer, nothing here removes protections that the law of your place of residence gives you and that cannot be waived by contract.
17. App stores
If you download the Product from the Apple App Store or Google Play, the End User License Agreement for this Product also applies. Apple and Google are not parties to these Terms and have no obligation to provide support, but Apple and its subsidiaries are third-party beneficiaries of the EULA and may enforce it.
18. Age ratings and parental consent in app stores
We assign the Product, and each purchase that can be made in it, an age rating and give it to every app store that distributes the Product. Where the Product is available to users under 18, downloads, purchases and certain updates may require the consent of a parent or guardian obtained through the app store, as required by Texas law. Before we make a significant change to these Terms or to the Privacy Policy, we notify those app stores, which may in turn notify parents who gave consent. If an app store tells us that a required consent has not been given or has been withdrawn, we may limit access to the Product or to a purchase as the law requires.
19. General
These Terms, together with the documents they reference, are the entire agreement about the Product. If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger or sale. We will give at least 30 days' notice of material changes; continuing to use the Product after they take effect means you accept them, and if you do not agree you may cancel. You must comply with U.S. export and sanctions laws.
